The Senior Attorney is responsible for providing a wide variety of legal services to the Bank's management and staff, including but not limited to conducting legal research, providing legal advice, negotiating contracts, representing the bank in litigation or litigation-related matters, assessing legal risk and available legal recourse, and advising on bank policies in order to minimize legal risk.

This role assures compliance with all Bank policies and procedures, as well as all applicable state and federal banking regulations.

ESSENTIAL DUTIES AND RESPONSIBILITIES

  1. Provide legal advice and counsel on a wide variety of legal matters including but not limited to Bank policies and procedures, deposit operations and loan matters, real estate matters, human resource and employment matters, corporate secretary/corporate governance and SEC reporting related matters, and litigation matters to management and staff with limited direct oversight and recommend appropriate courses of action to reduce the Bank's legal exposure.
  2. Support the General Counsel in the management of Bank business including drafting and negotiating contracts, policies, procedures, documents and memoranda, and ensuring compliance by the Bank with applicable laws and regulations at the local, state and federal levels.
  3. Assist with the preparation and maintenance of corporate governance documentation and records and assist with planning and carrying out the Annual Meeting of Shareholders.
  4. Oversee and identify legal issues, conduct legal research and draft memoranda of law and correspondence in response to legal questions presented by clients across all departments.
  5. Analyze changes in legislation and regulations and provide legal advice and counsel on the implications of these changes on the Bank’s operations and activities.
  6. Develop a base of clients who consistently and directly request assistance in core practice or specialty areas of the law to become the initial legal contact in these areas.
  7. Participate in bank projects, work groups or committees to identify and mitigate risks.
  8. Assist with other legal department objectives.
  9. Compliance with any and all BSA/AML/CFT and Sanctions requirements set forth by Bank Policy and Procedure, including but not limited to timely completion of assigned training.

SECONDARY DUTIES

The position performs duties specific to the position and other functions as assigned by management.

SUPERVISORY RESPONSIBILITY

This position is not responsible for the supervision of staff.

ENVIRONMENT AND PHYSICAL ACTIVITY

The incumbent is in a non-confined office setting in which they are free to move about at will.  In the course of performing the duties and responsibilities of this position spends time writing, speaking, listening, lifting (up to 25 pounds), sitting, typing on a computer keyboard, and standing, kneeling and reaching.

The incumbent for this position may operate any or all of the following: telephone, copy and fax machine, adding machine, computer and related printers.

MINIMUM REQUIREMENTS

These specifications are guidelines based on the minimum experience required to perform the essential functions of the job.  Individual abilities may result in some deviation from these guidelines:

  • A law degree from an ABA accredited law school.
  • A license to practice law in the state of Texas (in good standing).
  • A minimum of 6 years’ relevant experience in an in-house corporate legal capacity or law firm; banking or other regulatory experience is strongly preferred.
  • General familiarity with federal and state banking regulations, including safety and soundness and consumer protection regulations, and the Bank Holding Company Act and related FRB regulations, a plus.
  • Experience with non-disclosure agreements, vendor contracts, garnishments/levies/citations/subpoenas, deposit accounts and bank operations preferred.
  • General familiarity with state and federal laws impacting public companies, including the Securities Act of 1933 and Securities Exchange Act of 1934 and related SEC and Nasdaq regulations preferred.
