Corporate Counsel - Aerospace & Defense
Position Summary:
The Corporate Counsel will act as primary legal support for SkyWater’s Aerospace & Defense business, Advanced Packaging business, and SkyWater Florida operations. This role reports to Senior Director, Legal and will work closely with all levels of SkyWater’s organization to support transactions (customer and procurement) and provide general corporate legal support. The successful candidate will have a deep understanding of the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation (DFAR), and Cost Accounting Standards (CAS), encompassing all aspects of U.S. Government (USG) contract negotiation and administration. This role can be located at our Bloomington, MN or Kissimmee, FL location.
Responsibilities:
- Act as primary legal support for SkyWater’s Aerospace & Defense and Advanced Packaging lines of business, including counseling on complex bid and execution matters, advising on data rights and intellectual property issues, and negotiating agreements.
- Draft and negotiate a variety of documents including, but not limited to, USG and commercial customer terms and conditions, subcontractor agreements, FAR/DFAR clauses, licenses, orders, non-disclosure, and teaming agreements.
- Partner with SkyWater Procurement and other stakeholders to draft and negotiate purchase agreements, service agreements, and other documents with third party suppliers and providers.
- Advise on export and import compliance, trade sanctions, licensing, disclosures, customs, and compliance audits, as well as other regulatory compliance matters.
- Proactively develop and improve SkyWater policies, procedures, template agreements, and contract playbooks.
- Manage process and ensure practices, transactions, and documentation comply with SkyWater policies and procedures, contract requirements, and government regulations.
- Conduct legal research and prepare written opinions based on that research.
- Support litigation and pre-litigation work to minimize risks and liability, and manage outside counsel to ensure the work, methodology, and strategy.
- Perform other duties and special projects as assigned.
Required Qualifications:
- Education: Juris Doctor Degree and admission to practice law in a state within which SkyWater operates.
- 5+ years in-house legal experience in the Aerospace & Defense industry, or a manufacturer or other organization directly supporting a significant Aerospace & Defense customer-base.
- Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation (DFAR), and Cost Accounting Standards (CAS) experience.
- Knowledge of the proposal process as it relates to federal business cycles and the preparation of requests for proposals.
- Substantial experience in contract negotiations and establishing client and customer relationships.
- Business acumen and an ability to provide legal advice in the context of business initiatives and goals.
- Ability to exercise considerable judgment and discretion in dealing with confidential and sensitive issues.
- Ability to demonstrate sound and independent judgment, strategic thinking, and problem-solving.
- Ability to handle multiple projects simultaneously and prioritize and reprioritize among them.
- Resourcefulness and ability to work independently with minimal supervision.
- Strong interpersonal and communication skills, both oral and written.
- U.S. Citizen Required: This position will require the holding of or ability to obtain government security clearance which requires U.S Citizenship.
Preferred Qualifications:
- 5+ years FAR, DFAR, CAS experience.
- Other Transaction Authority (OTA) awards and transactions experience.
- Semiconductor industry experience.
- Active security clearance (Secret or higher).
