POSITION SUMMARY
The General Counsel and Chief Legal Officer is responsible for overseeing the legal, risk, and compliance functions of the company, ensuring compliance with laws and regulations, and mitigating risk. As a member of the Executive Leadership Team, the General Counsel and Chief Legal Officer leads the legal strategy and provides counsel on corporate governance, litigation, intellectual property, regulatory issues, and contractual processes and matters.
ESSENTIAL FUNCTIONS
- Legal Strategy: Develop and implement the company’s legal strategy to support business objectives and mitigate risks.
- Corporate Governance: Advise the Executive Leadership Team and Atlas Board of Directors on governance issues and ensure compliance with corporate governance standards.
- Regulatory Compliance: Oversee compliance with all relevant laws and regulations, including industry-specific requirements.
- Risk Management: Identify and manage legal risks, including overseeing litigation and regulatory investigations.
- Contract Management: Lead organizational planning for process optimization including the Legal Department’s use of existing technology, services, and processes, and advance the team’s effectiveness. Ensure processes are fully optimized to archive, document, and prioritize the contract process. Oversee and assist in developing an efficient process for reviewing contracts.
- Litigation Oversight: Manage all litigation and dispute resolution, working with external counsel when necessary.
- Joint Ventures, Mergers & Acquisitions: Provide legal support on joint ventures, acquisitions, and other major transactions including due diligence and contract negotiation.
- Intellectual Property: Oversee the protection and enforcement of the company’s intellectual property.
- External Counsel Management: Select, retain, and manage external legal counsel to ensure cost-effective and efficient legal services. Including facilitation of legal advice and resolution on behalf of Joint Ventures (JVs) Ambulatory Surgery Centers (ASCs) and Atlas.
- Team Leadership: Lead, mentor, and develop the legal team, fostering a collaborative and high-performing department aligned with business goals and objectives.
MINIMUM QUALIFICATIONS
- Juris Doctorate degree accredited by the American Bar Association
- Licensed to practice law in Arizona
- 10+years of relevant legal experience
- Proven record of leading, managing, developing, and motivating high-performing teams.
- Strong negotiating skills
- Experience managing the process and driving efficiencies for hiring and overseeing outside counsel and other legal vendors.
- Ability to communicate effectively with others at all levels of the organization.
- Strong interpersonal and presentation skills
PREFERRED QUALIFICATIONS
- Ambulatory Surgery Center experience
- Relevant work experience with a Healthcare organization.
